PillZet – Pharmacy Partner Terms & Conditions

These Terms & Conditions (“Terms”) govern the participation of registered pharmacies (“Pharmacy Partner”, “you”, “your”) on the PillZet platform, operated by VN Globe Tech Private Limited (“PillZet”, “we”, “us”).
By onboarding, accessing, or using the PillZet platform, you agree to comply with these Terms, applicable laws, and the executed Store Partner Agreement.
1. Eligibility & Onboarding
Pharmacy Partners must:
- Hold valid Drug License(s), GST registration, and all approvals required under Indian law
- Be duly registered and compliant with applicable pharmaceutical regulations
PillZet reserves the right to:
- Verify submitted documents
- Approve, suspend, or reject onboarding at its discretion
2. Nature of Relationship
The relationship between PillZet and the Pharmacy Partner is strictly principal-to-principal.
Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship.
Pharmacy Partners shall not represent themselves as agents or representatives of PillZet.
3. Role of PillZet
PillZet acts as a technology platform connecting customers with licensed pharmacies.
PillZet is responsible for:
- Platform operations
- Order routing
- Delivery logistics after order handover
PillZet does not dispense medicines and does not alter prescriptions.
4. Order Fulfillment Responsibilities
Pharmacy Partners agree to:
Supply only:
- Genuine, certified, and non-expired medicines
- Medicines sourced from authorized distributors
Dispense medicines:
- Strictly as prescribed or requested
- Without substitution unless explicitly approved by the customer
Package orders:
- In original sealed packaging
- With visible batch number, expiry date, and manufacturer details
Orders must be handed over to PillZet’s designated delivery partner in a timely manner.
5. Prescription Handling
Prescription validation is coordinated through PillZet’s system.
Pharmacy Partners must cooperate fully with prescription verification workflows.
Medicines requiring prescriptions shall not be dispensed without successful validation.
6. Pricing, Discounts & Commission
All pricing must comply with:
- Maximum Retail Price (MRP) regulations
- Drug Price Control Order (DPCO), where applicable
Discounts are managed and communicated by PillZet. Pharmacy Partners shall not independently offer discounts on the platform.
PillZet’s commission shall be deducted as per agreed commercial terms and shall remain fixed for the first year unless mutually revised.
7. Payments & Settlements
Settlements shall be processed as per the agreed settlement cycle (daily or weekly).
Pharmacy Partners must:
- Review settlements promptly
- Raise disputes within the stipulated timeframe
Refunds and chargebacks shall be handled in accordance with PillZet’s Refund & Return Policy.
8. Delivery, Returns & Recalls
PillZet is responsible for delivery once orders are handed over.
Pharmacy Partners remain responsible for:
- Incorrect, expired, or defective medicines
- Regulatory recalls and replacements
Partners must cooperate fully in return, recall, and refund processes.
9. Compliance & Records
Pharmacy Partners shall:
- Maintain accurate transaction, batch, expiry, and dispensing records
- Follow proper storage conditions (temperature, humidity, security)
- Comply with applicable inventory and pharmacy practices
Partners must cooperate with audits and regulatory inspections when required.
10. Data Privacy & Confidentiality
Customer data must be used strictly for order fulfilment and protected in compliance with applicable data protection laws.
Pharmacy Partners shall not:
- Store, share, sell, or misuse customer data
- Disclose confidential business information during or after termination
11. Indemnity & Liability
Pharmacy Partners shall indemnify PillZet against claims arising from:
- Regulatory non-compliance
- Supply of expired, incorrect, or defective medicines
- Misrepresentation to customers
Except in cases of fraud or willful misconduct, liability shall be limited as per the Store Partner Agreement.
12. Suspension & Termination
PillZet may suspend or terminate access immediately in cases of:
- Regulatory violations
- Material breach of these Terms
- Actions harming customer safety or PillZet’s reputation
Either party may terminate the partnership with 30 days’ written notice, unless otherwise stated in the Agreement.
13. Amendments
PillZet may update these Terms from time to time. Continued participation on the platform constitutes acceptance of revised Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India.
Disputes shall be resolved through amicable negotiation and, failing that, arbitration under the Arbitration and Conciliation Act, 1996.
